# Misty 非會員影音空間使用與服務收費規範 本規範適用於任何並非 Misty 會員而進入 Misty 場地之人士,以及任何未以 Misty 會員身份獲本店提供 café 一般消費性服務,而於本場地內停留、使用空間、拍照、錄影、直播或錄音(以下統稱「拍攝」)之人士。 Misty 之一般 café 餐飲及會員體驗服務,僅提供予經本店審批之會員。本店原則上不向非會員提供一般 café 消費性服務,亦不視非會員為 café 客人。對非會員而言,Misty 場地並不提供任何一般 café 消費服務;非會員在本場地內唯一可能形成之服務關係,即是就 Misty 場景、女僕角色、品牌元素及相關 IP 所提供之商業拍攝與使用授權服務。本店不視非會員為 café 之一般消費者,而一律視其為就上述資產作出使用決定之潛在商業客戶;故非會員在本場地內進行之任何拍攝、直播、錄影或錄音行為,均屬使用本店商業拍攝及授權服務,須依本規範之標準單位及單價支付對價。 本規範及相關價目已於 Misty 網站、場地出入口及場內顯眼位置以告示方式公開展示,任何進入者均獲合理機會閱覽。不同意者,請勿進入;如你對任何內容有疑問,須於拍攝前向本店提出。 如本店職員發現疑似未成年人或本店合理懷疑未必能充分理解本規範之人士擬於本場地內拍攝,本店將主動作出口頭說明,以避免其在不清楚情況下作出可能帶來較大經濟後果之決定。對於成年人及公司客戶,本店有合理理由相信其具備閱讀並理解本規範內容之能力,並會自行就拍攝及使用作出負責任之商業判斷。 *** ## 一、核心處理原則 本規範之設計基於一個簡單而明確的原則:**認知產生行為,而行為產生義務**。你在進入本場地前及場內,已獲合理機會認知本規範所載之服務性質、授權範圍及收費方式;當你在充分認知之下選擇作出特定行為(包括進行拍攝、延長授權期或於法律程序中使用 Misty 成品),該等行為即自動生成相應之主要付款義務。上述付款義務均屬你自願及知情下所作商業決定之對價,並非任何形式之罰款、損害賠償或懲罰性收費。 本店不視任何在本場地內進行之拍攝、直播、錄影或錄音行為為「違規」或「錯誤」行為;相反,上述行為一律構成使用 Misty 所提供之商業場景及授權服務之正面商業決定。任何非會員於獲上述合理閱覽機會後,仍選擇進入本場地並開始拍攝 Misty 場景、女僕角色或其他品牌元素者,其行為依一般合理人之客觀理解,即構成對本店該項商業服務要約之以行為方式接受(acceptance by conduct),自拍攝開始時起即承擔本規範所載之主要付款義務。前述拍攝行為之商業使用性質,並不因該人士事後自稱「非商業」、「一般消費者」或「未有細讀條款」而改變。 本規範特別針對一切以「僅為參觀、查詢、考察或工作往來」為名,而在 Misty 場景中實際進行拍攝之非會員人士。依一般合理人之理解,上述情況下之拍攝行為較符合就 Misty 場景及 IP 作商業性使用之特徵,而非普通 café 消費者附帶拍攝;本店據此將該等拍攝一律視為使用本店商業拍攝及授權服務,並不接受任何單以「自稱非商業/自稱一般消費者」為理由否認其商業性質之主張。 *** ## 二、服務概要 Misty 場地內之一切人、物、場景、佈置、角色、商標、品牌元素及其衍生之影音素材,均屬 Misty 之高排他性知識資產與商業場景資源。一般進場人士如於本場地內拍攝,即屬使用 Misty 提供之影音服務商品,包括拍攝體驗、成品及其衍生使用權。 Misty Maid Café 之場景與女僕元素本身即構成 Misty IP 之核心部分,於物理空間上並不可完全區分為「單純 café 區」與「非 IP 區」;故在本場地內之任何拍攝,只要畫面、聲音或整體內容包含上述場景、角色、佈置、標誌或品牌元素,即屬對 Misty IP 資源之使用。 本店提供之服務包括但不限於:空間場景設計、燈光與視覺效果、動線規劃、空間調度、角色呈現、品牌識別、商標授權、場景授權及相關拍攝配合。上述內容為整體商業服務之一部分,並非可與拍攝行為分離之附帶元素。 *** ## 三、影音服務基本商品(主服務組合) 影音服務之基本消費為一項整體服務組合,包含以下三項不可分拆之內容: ### 1. 專業場景授權服務 於 Misty 場地內,或對 Misty 場地、器物、人事、商標、角色或 IP 進行或企圖進行拍攝所涉及之場地使用、照明與調度服務,包括但不限於場景設計、佈光、動線規劃、空間調度、角色呈現、氛圍營造、商業場景授權、商標授權、佈景授權及角色肖像授權(如場景中包含本店角色或演員)。 ### 2. 拍攝成品 因上述服務所衍生之原始影像素材,包括照片、影片畫面、直播畫面及錄音素材。Misty 之場景、佈置、角色、商標及空間構成可受版權及商標法保護之創作元素,因此任何包含上述元素之影音素材,均屬 Misty 場景與 IP 被使用後所產生之成品。 ### 3. 全球全媒體使用權(一個月) 上述影像或錄音素材於拍攝日起一個月內之商業及非商業應用許可,覆蓋全球範圍及所有媒體(WORLDWIDE ALL MEDIA,一個月)。 上述三項構成 Misty 影音服務基本商品之完整組合,作為單一整體出售,並不分拆提供。若你不接受上述整體設計或不認同 Misty IP 與場景授權價值,請勿於本場地內拍攝;如需拍攝,可選擇店外或其他不涉及 Misty 場景之空間。 *** ## 四、收費標準(連續十幀一組;錄音按時長計) 本服務之定價係基於 Misty 之空間設計、品牌價值、場景授權及專業調度成本所制定,並屬本店一貫之公開定價政策。 ### 1. 影像授權單位:「一組畫面」 本店以「一組畫面」作為影像授權之基本單位。「一組畫面」係指於同一個連續鏡頭中,按時間順序緊接之最多十幀影像(下稱「連續幀」)。每一組畫面之授權費用為港幣 74,500 元整(HKD 74,500)。 客戶可於同一組連續幀之內,自行選擇一幀或多幀作最終使用;無論組內實際使用幀數多少,本店就該組連續幀僅收取一次授權費用。來自不同鏡頭,或於時間軸上不連續之幀,即使合計不超過十幀,亦視為不同組畫面,須分別購買授權,不得拼湊計算為一組。 ### 2. 照片(靜態影像) 每張 HKD 74,500。 ### 3. 直播(不留存或暫存) 每 10 秒 HKD 74,500,不足 10 秒以 10 秒計算。考量直播之即時公開風險與管理需別於預先錄製之影片,本店可就直播畫面中實際出現並可清晰辨識 Misty 場景、佈置、人物、角色或商標之畫面構成、鏡頭數量及時間長短,依本規範第十節所載之酌情權限,自行決定是否對相關單位給予折扣或豁免;上述折扣或豁免僅屬本店之單方酌情優惠,不改變本節所載標準收費之法律效力。 ### 4. 錄音(僅聲音使用) 使用 Misty 之環境聲、對話或人物聲線:每 30 秒 HKD 18,000,不足 30 秒以 30 秒計算。 ### 5. 付款義務之性質 任何一經使用 Misty 場景、佈置、人物、角色或商標之影像或錄音素材作商業用途,即視為你已依本節所列之標準價目,自行購買相應組數或單位之影音服務基本商品,並負有即時結清相應授權費用之義務。上述各項費用均屬 Misty 之商業授權及服務商品標準定價,為該等服務本身之原有價值與正常商業授權價格,屬雙方自始約定之主要對價(primary obligation),並非任何形式之罰款、違規費用或懲罰性收費。 Misty 並無能力或責任預先了解你或你的商業機構之影像或錄音產品需求數量。除在有需要時檢查器材以計算應收費用外,Misty 並不參與、亦不干預你所選擇之拍攝時長、鏡頭數量或使用素材數量,其風險及成本概由你自行承擔。 *** ## 五、特殊限制許可使用 如拍攝者已與 Misty 預先以書面方式作出安排,就特定日期、時間、內容限制或使用方式取得限制性許可,本店可在本規範所列標準單價及計算單位之基礎上,提供整體金額之折扣或套票安排。任何該等折扣或套票安排均須以 Misty 明確書面確認為準;除書面另有明確載明外,本規範所載之各項標準單價及計算單位始終適用。 *** ## 六、追加授權服務(延長及法律用途) 除上述基本商品外,Misty 可就特定行為提供以下追加授權服務;當你作出相關行為時,即自動生成相應之額外主付款義務。 ### 1. 延長全球全媒體使用權之授權期(自動生成之延長付款義務) 如你於任何拍攝成品的原有一個月全球全媒體使用權屆滿前,決定在該授權期屆滿後繼續於同等範圍內使用該成品,你之該項決定自動構成就延長授權期購買新一輪授權服務之行為,並於作出延長決定之時起,生成相應之延長授權期付款義務。 - 如你在該成品原有授權期最後 7 日或之前確認延長,則每延長一個月全球全媒體使用權,須按該成品原本授權費用之 75% 支付延長授權期之費用。 - 如你在距離原授權期屆滿少於 7 日,或於授權期屆滿後仍決定延長並持續或重新使用該成品,則每延長一個月全球全媒體使用權,須按該成品原本授權費用之 100% 支付延長授權期之費用。 前述延長授權期費用,均屬就延長後授權期間之使用權所約定之主要對價,並非任何形式之罰款、損害賠償或懲罰性收費。自延長授權期付款義務生成之時起,相應金額即成為依本規範應付之授權費用項目。 ### 2. 法律及法庭用途之專用授權(自動生成之法律用途付款義務) 如你於任何時間決定將包含 Misty 場景、女僕角色、品牌元素或其他 Misty IP 之拍攝成品,用作法律或法庭用途(包括但不限於民事訴訟、刑事案件、行政程序、仲裁、調解、監管申報或其他正式法律程序),不論該法律事件是否直接涉及 Misty,本店均視此類用途為一項獨立之專用授權服務,須另行購買法律性授權。你之該項決定自動構成就法律及法庭用途購買專用授權服務之行為,並於作出該用途決定之時起,生成相應之法律性授權付款義務。 就任何單一司法管轄區(例如香港)而言,法律性授權以一個月為基本單位:你須就相關成品支付相當於該成品原本授權費用 550% 之法律性授權費用,以取得在該一個月內於相關法律或法庭程序中使用該成品之專用授權。若該法律事件牽涉香港以外之城市或司法管轄區,你於決定在該城市或司法管轄區使用該成品之時,即自動生成就該城市或司法管轄區的法律性授權付款義務,須就每一個額外城市或司法管轄區,就同一成品額外支付相當於該成品原本授權費用 1300% 之法律性授權費用,作為在該城市或司法管轄區一個月內使用該成品之法律性授權。法律性授權之最低購買期為六個月。 上述法律性授權費用,係就 Misty 在法律及法庭場景下提供之專用授權服務及相關品牌、角色及 IP 風險管理、證據處理及程序配合所訂立之正常商業授權對價,屬主要付款義務,並非任何形式之罰款、違約金或懲罰性收費。 *** ## 七、進入者視為同意之事項 任何進入本場地之非會員人士,均視為已同意下列事項: ### 1. 檢查權及判定權(限定與自願) 進入者需同意並配合 Misty 場地工作人員就合理懷疑之拍攝行為進行器材與現場情況之目視檢查與紀錄;本店僅可在你明確同意及自願配合下查閱你器材中之影像或錄音資料,以核實是否存在使用 Misty 場景之事實。除非警方或其他具法定強制權之機構到場,本店不具強制搜查私人器材或以暴力、恐嚇、人身拘束方式強制留置你之人身自由或強行奪取器材之權力。 若進入者拒絕配合器材檢查,本店有最終判定權,以判斷是否曾進行拍攝;在此情形下,本店可合理推定並以最小必要單位(以 30 秒拍攝時間作為起點)計算收費,並保留進一步追討之權利。 ### 2. 判定結果 本店就拍攝行為之判定,係依據工作人員現場觀察、器材現場狀態、統一之現場紀錄程序及(如可取得)器材存取紀錄。若進入者之行為令 Misty 場地工作人員判定其正在拍攝或曾在拍攝,而該人士拒絕配合器材檢查,則無論最終器材中是否找到相關片段(包括事後刪除之情況),本店可作為合理推定並依本規範相應計價。進入者如對判定有異議,應即時於離場前與本店主管進行現場裁決確認;一旦離場,即視為對本次判定之服務費用結算並無異議。 ### 3. 服務交付原則 拍攝行為即代表你已體驗並享用了 Misty 提供之場景與角色服務,且已將服務成品(影像及/或錄音素材)存取至器材中;此行為視同已提取及已完成服務交付。 ### 4. 行政聯絡確保 為保證所有聯絡有效,你需要向本店提供你的身分證明文件及聯絡地址。此等資訊僅用於你於本店消費所引起之繳費安排及後續聯絡用途。 *** ## 八、逾期付款、遲延利息及追討安排 任何依本規範產生之授權費用、延長授權期費用或法律性授權費用,均須自本店發出付款通知之日起計 3 日內 全數繳付。自該付款通知發出之日起算第 1 日起,所有應付而未付之款項,形式上即按年利率 17.5% 以單利方式按日累計遲延利息;惟如你於前述 3 日期限內全數繳清相關應付款項,本店將就該部分費用所形式累計之遲延利息 全數予以豁免,即實際不向你收取任何利息。 逾該 3 日期限後,任何仍未繳清之款項,將自付款通知發出之日起按年利率 17.5% 以單利方式按日累計遲延利息,直至實際繳清之日止,本店有權就尚欠本金及其全部累積遲延利息一併向你追討。 你之任何部分付款,將依下列次序優先扣減: (一)已產生但未繳付之遲延利息; (二)最後才用於扣減尚未繳清之授權費用本金。 在上述全部款項尚未全數繳清之前,你不得主張已清還特定部分之本金,亦不得以任何部分付款為理由,否認本店就餘下款項及其遲延利息之追討權利。 若進入者在取得服務成品後拒絕結帳並試圖離場,本店可依法採取民事追討程序;在本店有合理根據相信當事人存在蓄意逃避支付對價或其他不誠實行為之情況下,本店亦保留依法報警及尋求法律機構協助之權利。 *** ## 九、道德與善良風俗使用限制 使用者於取得全球全媒體使用權後,仍須遵守一般社會所認可之善良風俗、誠信原則及公序良俗。任何包含 Misty 場景、佈置、角色、商標或其他受保護元素之影音素材,均不得用於: - 淫穢、色情、暴力、仇恨、歧視或煽動性內容; - 誹謗、侮辱、欺凌或損害他人名譽之用途; - 違反法律、社會道德或一般善良風俗之用途; - 任何可能損害 Misty 品牌形象、商譽或社會評價之用途。 如使用者違反上述限制,Misty 有權立即撤銷其使用權,並保留追究法律責任之權利。 *** ## 十、標準收費、折扣與豁免權限 本規範所列之各項收費單位及金額,均為 Misty 就相關服務及授權所訂立之標準定價,並於進入本場地前以公開方式展示。進入本場地並於本場地內拍攝或使用相關素材之人士,應在知悉標準價目後,自行理性決定是否接受並依照既定價目購買服務。 Misty 得基於個別情況、商業判斷或營運需要,自行決定是否對個別人士豁免、減免或延後收取部分費用。尤其在下列類型情況中,Misty 可考慮就部分費用作出折扣或豁免: 以公眾利益為主要目的之項目或活動; 以慈善為主要目的之項目或活動; 以扶助弱勢社群為主要目的之項目或活動。 任何申請均須於預定拍攝日期至少一星期前以書面向本店管理員提出,並清楚載明上述目的及相關安排;以收到本店之書面回覆為準。上述折扣或豁免僅屬 Misty 之單方酌情優惠,並不構成對本規範所載標準收費之放棄或更改,亦不賦予任何第三者要求作出同類安排之權利。Misty 對任何申請保留絕對批准或拒絕之權利,並無須提供任何理由。 *** ## 十一、其他原則及細則 本規範已以清晰、明確方式列出所有定義與程序,並已於進入場地前提供足夠的時間和機會供公眾閱覽。在你於本場地內開始任何拍攝行為之前,應自行閱讀並確認所有相關條款,並確定你作為一名具備判斷能力的商業客戶,已理性理解、認同及接受本店就相關服務所訂立之計費方式,以及你作為購買者對應付費用之支付義務。 本規範所稱「X 日內」,除非文義另有規定,均指自相關日期翌日起計之連續曆日(calendar days)。本服務不設退款機制。上列每個收費項目的單位均為獨立事件,會被獨立計算及獨立收費。進入者需了解及知悉每筆項目收費可被單獨而非合併追討。Misty 保留權利在每單一收費產生後,於任何合理時間間隔後始追討費用。 除本規範明文載列之遲延利息外,本版本規範暫不採用持續滾動之行政費機制。Misty 擁有本規範之最終解釋權。 *** ## 十二、簡要提示(門外告示短版) 非會員不得使用 Misty café 一般消費服務。 非會員在場內拍攝、直播、錄影或錄音 Misty 場景、女僕角色、佈置或商標,即屬使用 Misty 商業拍攝及授權服務。 進場前請先閱讀完整規範及價目;如不同意,請勿進入或拍攝。 凡逾期未付款項,將按規範計算遲延利息。 Misty Non‑Member Audio‑Visual Space Use and Service Charging Policy This Policy applies to any person who enters the Misty premises without being a Misty Member, and to any person who, without holding Misty Member status for café general consumption services, stays within the premises, uses the space, or conducts photography, videography, live streaming or audio recording (collectively, “Recording”). Misty’s general café food, beverage and member experience services are only provided to Members who have been approved by Misty. As a matter of principle, the café does not provide general consumption services to non‑members and does not regard non‑members as café customers. For non‑members, Misty does not provide any general café consumption services; the only service relationship that may arise is the provision of commercial shooting and usage licence services over Misty’s scenes, maid elements, brand assets and related intellectual property (“IP”). Misty does not regard non‑members as ordinary café consumers, but regards them as potential commercial customers making usage decisions in respect of the above assets. Accordingly, any Recording, live streaming, filming or audio recording conducted by a non‑member within the premises is treated as use of Misty’s commercial shooting and IP licence services and is subject to payment of consideration at the standard units and rates set out in this Policy. This Policy and the relevant price list have been publicly displayed via Misty’s website as well as notices posted at the entrance and at prominent locations within the premises, such that any entrant has a reasonable opportunity to read them. If you do not agree with any part of this Policy, you must not enter; if you have any doubt, you must raise it with Misty before conducting any Recording. If Misty staff identify a person who appears to be a minor or whom Misty reasonably suspects may not fully understand this Policy and intends to conduct Recording within the premises, Misty will proactively provide an oral explanation in order to avoid that person making a decision with potentially significant financial consequences in circumstances where the person is not clear. For adults and corporate customers, Misty has reasonable grounds to believe that they are capable of reading and understanding this Policy and will, on their own responsibility, make commercial judgments regarding Recording and usage. 1. Core Handling Principle This Policy is designed based on one simple and clear principle: awareness gives rise to conduct, and conduct gives rise to obligations. Before entering and within the premises, you are afforded a reasonable opportunity to be aware of the service nature, licence scope and charging mechanisms set out in this Policy. When, with such awareness, you choose to undertake specific conduct (including Recording, extending the licence period or using Misty content in legal proceedings), that conduct automatically generates corresponding primary payment obligations. Such payment obligations are the agreed consideration for commercial decisions that you voluntarily and knowingly make; they are not fines, damages or punitive charges of any kind. Misty does not regard any Recording, live streaming, filming or audio recording carried out within the premises as “breach” or “wrongful” conduct. On the contrary, all such conduct constitutes positive commercial decisions to use Misty’s commercial scenes and licence services. Any non‑member who, after being given a reasonable opportunity to read this Policy, still chooses to enter the premises and commence Recording of Misty’s scenes, maid characters or other brand elements, is, from the perspective of a reasonable person, objectively accepting Misty’s offer to provide the relevant commercial service by conduct (acceptance by conduct). From the moment Recording begins, that person assumes the primary payment obligations set out in this Policy. The commercial nature of such Recording is not altered by any subsequent self‑description such as “non‑commercial”, “ordinary consumer” or “did not read the terms carefully”. This Policy specifically targets non‑member Recording that is carried out under the description of “mere visit, enquiry, inspection or work‑related contact” but in fact utilises Misty scenes. From the perspective of a reasonable person, Recording in these circumstances is more consistent with commercial use of Misty’s scenes and IP than with incidental photography by ordinary café consumers. Misty therefore treats such Recording as use of Misty’s commercial shooting and licence services and does not accept any attempt to deny the commercial nature of such Recording based solely on self‑description as “non‑commercial” or “ordinary consumer”. 2. Service Overview All persons, objects, scenes, decorations, characters, trade marks, brand elements and derivative audio‑visual materials within Misty’s premises constitute Misty’s highly exclusive intellectual assets and commercial scene resources. Any general entrant who conducts Recording within the premises is thereby using the audio‑visual service products provided by Misty, including the shooting experience, resulting materials and derivative usage rights. The Misty Maid Café scenes and maid elements form the core of Misty’s IP. In physical space, they cannot be completely separated into “pure café area” and “non‑IP area”. Therefore, any Recording within the premises whose visuals, audio or overall content include the above scenes, characters, decorations, logos or brand elements constitutes use of Misty’s IP resources. Misty’s services include, without limitation: spatial scene design, lighting and visual effects, movement flow planning, space arrangement, character presentation, brand identity, trade mark licensing, scene licensing and related assistance with Recording. All of these form integral parts of the overall commercial service and are not separable incidental elements independent from Recording. 3. Basic Audio‑Visual Service Product (Primary Service Package) The basic audio‑visual service consumption constitutes an integrated service package comprising the following three inseparable components: 3.1 Professional Scene Licence Service Use of Misty’s premises or the attempt to conduct Recording of Misty’s premises, items, staff, trade marks, characters or IP involves use of the premises, lighting and scene arrangement. This includes, without limitation: scene design, lighting, movement flow, spatial arrangement, character presentation, atmosphere creation, commercial scene licence, trade mark licence, set‑up licence and character image licence (where characters or performers appear in the scene). 3.2 Recorded Materials The raw audio‑visual materials generated by the above services, including photographs, video frames, live‑stream frames and audio content. The composition of Misty’s scenes, decorations, characters, trade marks and space constitutes creative elements protectable under copyright and trade mark law. Any audio‑visual materials containing these elements are derivative materials resulting from use of Misty’s scenes and IP. 3.3 Worldwide All‑Media Licence (One Month) A licence to use the above audio‑visual or audio materials, for both commercial and non‑commercial purposes, for a period of one month from the date of Recording, covering global territory and all forms of media (WORLDWIDE ALL MEDIA, one month). These three components jointly form the complete basic audio‑visual service product package, which is sold as a single whole and is not offered on a disaggregated basis. If you do not accept this integrated design or do not recognise the value of Misty’s IP and scene licence, you must not conduct Recording within the premises; if you wish to record, you may choose locations outside the premises or other spaces that do not involve Misty’s scenes. Misty does not regard any Recording, live streaming, filming or audio recording within the premises as wrongful conduct; rather, all such conduct is treated as a positive commercial decision to use Misty’s commercial scenes and licence services. After being given a reasonable opportunity to read this Policy, your choice to enter the premises and commence Recording represents your voluntary and informed acceptance of the primary obligations and payment terms herein. The relevant fees are the agreed consideration for the services themselves and are not fines, breach charges or punitive payments. 4. Pricing (Up to 10 Continuous Frames Per Unit; Audio Charged by Duration) The pricing of Misty’s services is based on the design of Misty’s space, brand value, scene licence and professional arrangement costs, and reflects Misty’s established, publicly disclosed pricing policy. 4.1 Visual Licence Unit: “One Set of Frames” Misty uses “one set of frames” as the basic unit for visual licence. A “set of frames” refers to up to ten consecutive frames captured in a single continuous shot in temporal order (a “continuous sequence”). The licence fee for each set of frames is HKD 74,500. Within one set of continuous frames, you may choose one or more frames for final use. Regardless of the number of frames actually used within the set, Misty charges the licence fee once for that set of continuous frames. Frames coming from different shots, or frames that are not temporally continuous, constitute different sets even if the total number is ten or fewer; such frames must be licensed separately and may not be aggregated into one set. 4.2 Photographs (Still Images) Each photograph: HKD 74,500. 4.3 Live Streaming (Non‑Stored or Temporary Storage) Each 10 seconds: HKD 74,500. Any duration less than 10 seconds is rounded up to 10 seconds. In view of the immediate public exposure and management needs associated with live streaming, which differ from pre‑recorded video, Misty may, in its sole discretion under Section 10 (Standard Pricing, Discounts and Waivers), decide whether to grant discounts or waivers in respect of units of live‑stream footage where Misty scenes, decorations, characters or trade marks appear clearly and recognisably, taking into account composition, number of shots and total duration. Any such discounts or waivers are unilateral discretionary concessions by Misty and do not alter the legal effectiveness of the standard pricing set out in this Section. 4.4 Audio‑Only Recording Use of Misty’s ambient sounds, dialogue or voice: each 30 seconds HKD 18,000, with any duration less than 30 seconds rounded up. 4.5 Nature of Payment Obligations Once any audio‑visual or audio materials that use Misty’s scenes, decorations, characters or trade marks are used for any form of commercial purpose, you are deemed to have purchased, at the standard rates set out in this Section, the corresponding numbers of basic audio‑visual service units. You must pay the relevant licence fees in full. These fees are Misty’s standard pricing for commercial licence and services and represent the original value and normal commercial licence price of those services. They are primary obligations agreed by the parties from the outset and are not fines, breach charges or punitive payments. Misty has neither the ability nor the obligation to anticipate your or your organisation’s future quantity requirements for audio‑visual or audio products. Apart from inspecting devices as necessary to calculate fees, Misty does not participate in or interfere with your independent commercial decisions regarding Recording duration, number of shots or quantity of materials used. All risks and costs associated therewith are borne solely by you. 5. Special Restricted‑Use Licences If the person conducting Recording has, in advance and in writing, agreed with Misty on specific dates, times, content restrictions or uses and obtained a restricted‑use licence, Misty may, based on the standard units and prices set out in this Policy, offer discounts or package pricing for the overall amount. Any such discounts or packages must be clearly confirmed in writing by Misty. Unless otherwise explicitly stated in such written confirmation, the standard prices and units in this Policy remain applicable. 6. Additional Licence Services (Extensions and Legal Use) In addition to the basic product, Misty offers the following additional licence services in respect of specific conduct. When you undertake such conduct, corresponding additional primary payment obligations automatically arise. 6.1 Extension of Worldwide All‑Media Licence (Automatic Extension Payment Obligation) If, prior to expiry of the original one‑month Worldwide All‑Media licence for any recorded material, you decide to continue to use that material on the same worldwide all‑media basis after expiry, such decision automatically constitutes purchase of a new extension licence period and, at the time of that decision, generates the corresponding extension payment obligation. If you confirm the extension on or before the last 7 days of the original licence period, each additional month of licence requires payment of 75% of the original licence fee for that material. If you decide to extend usage fewer than 7 days before expiry or after the original licence period has expired, and you continue or resume use of the material, each additional month of licence requires payment of 100% of the original licence fee for that material. The above extension fees are primary consideration for the extended licence period, not fines, damages or punitive charges. From the time the extension payment obligation arises, the corresponding amount becomes a licence fee payable under this Policy. 6.2 Special Licence for Legal and Court Use (Automatic Legal‑Use Payment Obligation) If at any time you decide to use recorded materials containing Misty scenes, maid characters, brand elements or other Misty IP in legal or court proceedings (including, without limitation, civil suits, criminal cases, administrative proceedings, arbitration, mediation, regulatory filings or other formal legal processes), whether or not such proceedings directly involve Misty, Misty treats such use as a separate special licence service that must be purchased as a legal‑use licence. Your decision automatically constitutes purchase of such legal‑use licence and, at the time of that decision, generates the corresponding legal‑use payment obligation. For any single jurisdiction (for example, Hong Kong), the legal‑use licence is charged in one‑month units. You must pay an amount equal to 550% of the original licence fee for the relevant material in order to obtain a special licence to use that material in the relevant legal or court proceedings in that jurisdiction for one month. If the legal matter involves cities or jurisdictions outside Hong Kong, then at the time you decide to use that material in each additional city or jurisdiction, an additional legal‑use payment obligation automatically arises. For each additional city or jurisdiction, you must pay, in respect of the same material, an amount equal to 1300% of the original licence fee as consideration for legal‑use licence for one month in that city or jurisdiction. The minimum legal‑use licence period is six months, i.e. all legal‑use licence fees are charged based on a minimum continuous six‑month licence period, irrespective of the actual length of the legal proceedings. The above legal‑use licence fees are normal commercial consideration for special licence services provided by Misty in the legal and court context, including management of brand and IP risk, handling of evidence and procedural cooperation. They are primary payment obligations and not fines, liquidated damages or punitive charges. 7. Matters Deemed Agreed by Entrants Any non‑member entering the premises is deemed to have agreed to the following: 7.1 Inspection and Determination (Limited and Voluntary) The entrant agrees to cooperate with Misty staff in reasonable visual inspection and documentation of devices and on‑site conditions where there is reasonable suspicion of Recording. Misty may only access images or audio stored on a device to verify Recording if the entrant clearly consents and voluntarily cooperates. Unless law enforcement or other statutory authorities are present, Misty has no power to forcibly search private devices, detain personal liberty or seize devices by force or threat. If the entrant refuses to cooperate in device inspection, Misty has final determination authority to decide whether Recording has occurred. In such circumstances, Misty may, based on reasonable inference, charge fees starting from the minimum necessary unit (30 seconds of Recording time) and reserves the right to pursue further amounts. 7.2 Determination Outcome Misty’s determination is based on staff on‑site observations, device status, standardised on‑site records and, where obtainable, device access logs. If the entrant’s conduct leads Misty staff to conclude that Recording is being or has been carried out, and the entrant refuses inspection, then regardless of whether the device ultimately contains relevant clips (including where clips are later deleted), Misty may rely on reasonable inference and charge fees in accordance with this Policy. If the entrant disputes the determination, such dispute must be raised with the on‑site manager before leaving the premises; leaving the premises is deemed acceptance of the fee calculation for that visit. 7.3 Service Delivery Principle Recording signifies that you have experienced and enjoyed Misty’s scene and character services, and have stored the service outputs (audio‑visual and/or audio materials) on your device. This is treated as “goods collected” and “service delivered”. 7.4 Contact Information To ensure effective communication, you must provide Misty with your identification documents and contact address. Such data are used only for purposes related to payment arrangements and follow‑up communications arising from your consumption at Misty. 8. Late Payment, Default Interest and Recovery Any licence fees, extension fees or legal-use licence fees arising under this Policy must be paid in full within 3 days from the date of Misty’s payment notice. From Day 1 counted from the date of such payment notice, all amounts due but unpaid shall, formally, accrue simple default interest at an annual rate of 17.5%, calculated on a daily basis. However, if you pay all relevant amounts in full within the above 3-day period, Misty shall waive in full all default interest formally accrued on those amounts, and no interest will in fact be charged or collected from you in respect thereof. If any amount remains unpaid after expiry of the said 3-day period, default interest at the annual rate of 17.5% shall continue to accrue on a daily simple-interest basis from the date of the payment notice until the date of actual payment, and Misty shall be entitled to recover the outstanding principal together with all accrued default interest. Any partial payment made by you shall be applied in the following order: (1) first, towards any accrued but unpaid default interest; (2) secondly, towards reduction of the outstanding principal licence fees. Until all amounts due have been paid in full, you may not assert that any specific part of the principal has been discharged, nor rely on partial payment as a basis to deny Misty’s right to recover the remaining principal and corresponding default interest. If an entrant, after obtaining service outputs, refuses to settle payment and attempts to leave, Misty may initiate civil recovery proceedings. Where Misty has reasonable grounds to believe that the entrant is deliberately evading payment or acting dishonestly, Misty reserves the right to report the matter to the police and to seek assistance from the relevant legal authorities. 9. Ethical and Public Morals Restrictions Even after obtaining Worldwide All‑Media licence, users must adhere to socially accepted standards of decency, good faith and public morals. Any audio‑visual or audio materials containing Misty scenes, decorations, characters, trade marks or other protected elements must not be used for: obscene, pornographic, violent, hateful, discriminatory or inflammatory content; defamatory, insulting, bullying or reputation‑damaging purposes; uses that violate law, social ethics or generally accepted good morals; any uses likely to damage Misty’s brand image, goodwill or reputation. If a user breaches the above restrictions, Misty has the right to immediately revoke the licence and reserves the right to pursue legal liability. 10. Standard Pricing, Discounts and Waivers All pricing units and amounts set out in this Policy are Misty’s standard pricing for the relevant services and licences, and have been publicly displayed prior to entry. Any person who enters the premises and conducts Recording or uses relevant materials within the premises shall, after becoming aware of the standard price list, decide rationally whether to accept and purchase the relevant services at such stated prices. Misty may, based on individual circumstances, commercial judgment or operational needs, decide whether to waive, reduce or defer collection of certain fees in whole or in part. In particular, Misty may consider granting discounts or waivers in respect of projects or activities principally undertaken for: the public interest; charitable purposes; or the support or relief of vulnerable groups. Any such application must be submitted in writing to Misty’s management at least one week before the intended Recording date, clearly stating the relevant purpose and proposed arrangements, and shall be subject solely to Misty’s written reply. Any such discount or waiver is a unilateral discretionary concession by Misty and does not constitute a waiver of, or amendment to, the standard pricing set out in this Policy, nor does it create any right for any third party to demand similar treatment. Misty reserves the absolute right to approve or reject any such application without giving reasons. 11. Other Principles and Details This Policy sets out all definitions and procedures clearly and expressly and has been made available for public reading with sufficient time and opportunity prior to entry. Before commencing any Recording within the premises, you should read and confirm all relevant terms, and ensure that, as a commercial customer with decision‑making capacity, you have rationally understood, accepted and agreed to the charging mechanisms established by Misty in respect of the services and your corresponding payment obligations. If you have any doubts, you must raise them with Misty before Recording. References to “within X days” in this Policy, unless otherwise stated, mean consecutive calendar days starting from the day following the relevant date. The services are non‑refundable. Each fee item is an independent event and will be calculated and charged separately. You must understand and acknowledge that each fee may be pursued individually and not only as part of an aggregate. Misty reserves the right to recover each individual fee after any reasonable time interval. Apart from the default interest explicitly stated in this Policy, Misty is currently not implementing any rolling administrative‑fee mechanism. Misty has final interpretative authority over this Policy. 12. Short Notice (Entrance Summary) Non‑members are not entitled to Misty café general consumption services. Any Recording, live streaming, filming or audio recording by non‑members inside the premises that includes Misty scenes, decorations, maid characters or trade marks is treated as use of Misty’s commercial shooting and licence services. Please read the full Policy and price list before entering and Recording; if you do not agree, you must not enter or Record. Late payments will attract default interest in accordance with this Policy. 13. Prevailing Language This English version is provided for reference only.
